BAT V, LLC, a Texas limited liabilty company and all subsidiaries and DBA's (collectively “We,” “Us,” or “Our”), provides specialized business support services, including staffing, consulting and done for you administrative services for entrepreneurs and business owners. These services (collectively, the “Services”) are delivered through our websites, direct communication (e.g., email, phone), or other means, subject to your acceptance of these Terms of Service (“Terms”) and our Privacy Policy. Together, these Terms constitute a binding agreement (the “Agreement”) between you (“You,” “Your,” or “Client”) and Us.

By accessing our websites or engaging our Services, YOU ACKNOWLEDGE THAT YOU:

a) HAVE READ THESE TERMS,

b) UNDERSTAND THESE TERMS, AND

c) ACCEPT AND AGREE TO BE BOUND BY THESE TERMS AND ANY APPLICABLE SERVICE AGREEMENT BELOW.

Eligibility

You must be at least 18 years old to access our websites or engage our Services. You may be a real estate professional, investor, entrepreneur, or business owner seeking virtual assistant services. If acting on behalf of an organization (e.g., team, brokerage), You confirm You have authority to bind that entity to these Terms, and “You” refers to that organization.

If You do not meet these criteria or disagree with these Terms, do not use our Services or websites. You may terminate this Agreement at any time if unwilling to be bound, as outlined below.

BAT V, LLC Services Agreement

1. Purpose

We provide Services to assist You in Your business activities:

Virtual assistant placement, training, and support for real estate professionals, investors, and entrepreneurs.

This Agreement applies to all Services engaged through our websites, forms, email, verbal agreements, or otherwise.

2. Independent Contractor Status

We are an independent contractor, not an employee, partner, or joint venture of You or Your organization. No ownership, agency, or employment relationship is created between You and Us, Our officers, or employees.

3. Scope of Services

Services include VA matching, training, and ongoing support, also subject to change with notice. We may agree to additional or modified Services outside this Agreement as needed.

4. Compliance with Laws

You are solely responsible for complying with all applicable laws, including Texas real estate licensing laws (e.g., Texas Occupations Code, Title 7) for XACT-TC services, and any business regulations for All Star VA's services, subsidiaries of BAT V, LLC, a Texas limited liabilty company. We are not liable for Your legal compliance.

5. No Licensed or Professional Services

We facilitate VA placement and training but do not perform Your business activities or provide legal/business advice. Consult appropriate professionals for such guidance.

6. Term and Termination

This Agreement begins when You engage Us for a Service (e.g., submitting an intake form, approving work via email) and continues until terminated. A “Launched” service occurs when You complete an intake process or authorize work. Either party may terminate this Agreement at any time, with or without cause, by written notice to the other (email to [email protected] for Us). Upon termination, no further duties exist except those surviving termination (e.g., confidentiality). Ongoing transactions remain governed by this Agreement until completed.

7. Confidentiality

Both parties agree not to disclose confidential information (e.g., processes, client data) obtained from the other, except to fulfill this Agreement. This obligation persists during and after the Agreement. All materials, systems, and data are confidential and not to be shared with third parties, including Your staff or brokerage, unless authorized.

8. Fees

Fees for VA placement and training are due as outlined in Your service agreement or invoice, payable directly to Us unless otherwise agreed. We are not liable for payment disputes between You and third parties.

9. No Refunds

Unless specified in writing, we maintain a no-refund policy. Once fees are paid (e.g., at closing or for VA services), You waive any refund claims.

10. Indemnification

You agree to indemnify, defend, and hold Us, Our affiliates, officers, employees, and vendors harmless from claims, damages, or legal fees arising from Your acts, omissions, or transactions, including claims by principals or third parties.

11. No Warranty / Limitation of Liability

Our Services are provided “as is” under Texas law, with no express or implied warranties (e.g., merchantability, fitness for a purpose). We are not liable for direct, indirect, punitive, or consequential damages arising from Our Services, even if advised of potential issues. You use Our Services at Your own risk, and Your sole remedy for dissatisfaction is to discontinue use. This aligns with Texas Business and Commerce Code provisions limiting liability absent gross negligence or willful misconduct.

12. Non-Solicitation

For two (2) years after discontinuing Our Services, You (and Your agents, affiliates, or team) agree not to hire, contract, or solicit Our employees, contractors, or representatives without Our written consent.

13. Texas Law and Jurisdiction

This Agreement is governed by Texas law, per the Texas Business and Commerce Code, without regard to conflict-of-law principles. Disputes will be resolved exclusively in state or federal courts in [Insert County, e.g., Travis County], Texas. You waive objections to this venue and consent to its jurisdiction. If any provision is invalid, the remainder remains enforceable.

14. Consent to Use Information

By agreeing to these Terms, You authorize Us to:

a) Use Your login credentials to access software for XACT-TC transaction processing or All Star VA's support.

b) Collect, use, and disclose Your information as needed to administer Your Services, per Our Privacy Policy.

You grant Us a perpetual, royalty-free license to use any content You provide (e.g., communications) for Our websites, Services, or social media, under Texas copyright law.

15. Intellectual Property

Our websites, Services, and materials are protected by U.S. and Texas intellectual property laws. We (or Our licensors) own all rights to Our content, trademarks, and systems. You receive no ownership interest and may not reproduce, distribute, or exploit Our content beyond what these Terms allow.
